Group Benefit Plan definition

Group Benefit Plan means the same as the termGroup Benefits Plan” as used in ERISA.
Group Benefit Plan means any health care service plan contract provided pursuant to Article 3.1 (commencing with Section 1357) to an employer with 2 to 19 eligible employees, as defined in Section 1357, as well as a specialized health care service plan contract provided to an employer with 2 to 19 eligible employees, as defined in Section 1357.
Group Benefit Plan means each “employee benefit plan” within the meaning of Section 3(3) of ERISA (whether or not subject to ERISA), and all other bonus, cash, equity, phantom equity, or other incentive compensation, salary continuation, employment, change-of-control, severance, transaction bonus, retention, profit-sharing, retirement, pension, deferred compensation, vacation, sick pay or paid time off, fringe benefit and all other benefit or compensation plans, programs, contracts, policies, agreements or arrangements (whether written or unwritten, insured or self-insured) (x) maintained, or sponsored by Seller that covers or otherwise provides compensation or benefits to any Acquired Group Company Employee or any Acquired Group Company Employee’s beneficiaries or (y) otherwise with respect to which any Acquired Group Company has any current or contingent liability or obligation.

Examples of Group Benefit Plan in a sentence

  • This Group Benefit Plan and coverage under it will not be issued or renewed unless the percentage of Eligible Persons specified in the Application for Group Coverage is enrolled.

  • Premium for continuing coverage will not exceed the premium assessed for each Subscriber by class of coverage under the Group Benefit Plan.

More Definitions of Group Benefit Plan

Group Benefit Plan means any employee benefit plan (within the meaning of Section 3(3) of ERISA) maintained or contributed to by any ERISA Affiliate or any Xxxxxx Benefit Plan. For purposes of this Agreement, the term “ERISA Affiliate” shall mean any entity which is, or at any applicable time was, a member of (i) a controlled group of corporations (as defined in Section 414(b) of the Code), (ii) a group of trades or businesses under common control (as defined in Section 414(c) of the Code), or (iii) an affiliated service group (as defined under Section 414(m) of the Code or the regulations under Section 414(o) of the Code), any of which includes or included any Xxxxxx Entity.
Group Benefit Plan means a vision plan as defined in Chapter 8 (commencing with Section 10700) of California law) to an employer with 2 to 19 eligible Employees.
Group Benefit Plan has the meaning set forth in Section 3.22 hereof.
Group Benefit Plan means each “employee benefit plan” within the meaning of Section 3(3) of ERISA (whether or not subject to ERISA), and all other bonus or other cash or other incentive compensation, equity or equity-based, employment, individual consulting, salary continuation, change-of-control, severance, retention, retirement, pension, deferred compensation, vacation, sick pay or paid time off and all other benefit or compensation plans, programs, contracts, policies, agreements or arrangements (whether written or unwritten, insured or self-insured) maintained, sponsored, contributed to, or required to be contributed to by Seller, Seller Parent, or any of its or their Subsidiaries or Affiliates or under or with respect to which Seller, Seller Parent, or any of its or their Subsidiaries or Affiliates has any current or contingent Liability or obligation and that, in each case, covers or otherwise provides, or may in the future provide, compensation or benefits to any Acquired Group Company Employee, officer, director or individual service provider of any Acquired Group Company, or beneficiary thereof, other than a Benefit Plan.
Group Benefit Plan means each “employee benefit plan” within the meaning of Section 3(3) of ERISA (whether or not subject to ERISA), and all other bonus or other cash or other incentive compensation, equity or equity-based, employment, individual consulting, salary continuation,change-of-control, severance, retention, retirement, pension, deferred compensation, vacation, sick pay or paid time off and all other benefit or compensation plans, programs, contracts, policies, agreements or arrangements (whether written or unwritten, insured or self-insured) maintained, sponsored, contributed to, or required to be contributed to by Seller, Seller Parent, or any of its or their Subsidiaries or Affiliates or under or with respect to which Seller, Seller Parent,or any of its or their Subsidiaries or Affiliates has any current or contingent Liability or obligation and that, in each case, covers or otherwise provides, or may in the future provide, compensation or benefits to any Acquired Group Company Employee, officer, director or individual service provider of any Acquired Group Company, or beneficiary thereof, other than a Benefit Plan.
Group Benefit Plan has the meaning assigned to such term in Section 5.16(a).
Group Benefit Plan. All employee benefit plans (as defined in Section 3(3) of ERISA), whether or not subject to ERISA, and all bonus, stock option, stock purchase, restricted stock, incentive, deferred compensation, retiree medical or life insurance, supplemental retirement, severance or other benefit plans, programs or arrangements, and all employment, termination, severance or other contracts or agreements, to which Seller or any Group Company is a party, in which any current or former Group Employee, officer, director or service provider of the Group participates, including any unilateral or custom binding any Group Company providing its employees or former employees with any benefit in connection with their employment.
