GRANTING CLAUSE. The Issuer hereby Grants to the Indenture Trustee on the Closing Date, as trustee for the benefit of the Noteholders and the Credit Enhancer, all of the Issuer's right, title and interest in and to all accounts, chattel paper, general intangibles, contract rights, payment intangibles, certificates of deposit, deposit accounts, instruments, documents, letters of credit, money, advices of credit, investment property, goods and other property consisting of, arising under or related to whether now existing or hereafter created in any of the following: (a) the Initial Home Loans and any Subsequent Home Loans, and all monies due or to become due thereunder; (b) the Note Payment Account, and all funds or investment property on deposit or credited thereto from time to time and all proceeds thereof; (c) the Capitalized Interest Account, and all funds or investment property on deposit or credited thereto from time to time (other than any income thereon), and the Pre-Funding Account, and all funds or investment property on deposit or credited thereto from time to time; (d) the Policy; and (e) all present and future claims, demands, causes and choses in action in respect of any or all of the foregoing and all payments on or under, and all proceeds of every kind and nature whatsoever in respect of, any or all of the foregoing and all payments on or under, and all proceeds of every kind and nature whatsoever in the conversion thereof, voluntary or involuntary, into cash or other liquid property, all cash proceeds, accounts, accounts receivable, notes, drafts, acceptances, checks, deposit accounts, rights to payment of any and every kind, and other forms of obligations and receivables, instruments and other property which at any time constitute all or part of or are included in the proceeds of any of the foregoing (collectively, the "Trust Estate" or the "Collateral"). The foregoing Grant is made in trust to secure the payment of principal of and interest on, and any other amounts owing in respect of, the Notes, equally and ratably without prejudice, priority or distinction, and to secure compliance with the provisions of this Indenture, all as provided in this Indenture. GRANTING CLAUSE. SECOND All funds deposited in the Accounts and Eligible Investments thereof, to the extent provided in this Indenture, and proceeds thereof;
