Seller has delivered to Purchaser a true, correct and complete copy of that certain Golf Facility Reservations and Use and Licensing Agreement, dated December 20, 1985 (the “Golf Use Agreement”).
During the term of this Agreement, ▇▇▇▇▇ shall not remove or relocate the General Manager, and/or the golf course superintendent of the Golf Facility to another Facility managed by Maxim without obtaining prior Owner consent, which will not be unreasonably withheld or delayed.
In the event that a determination is made by the Owner to discontinue its ownership of the Golf Facility, Owner agrees that it will consider sale of the Facilities to Maxim among its options.
Licensees agree that the Golf Facilities will continue to actively market and utilize the Teaching Program as a distinctive premium brand of golf instructional program, and that neither Licensee shall offer any part of the Teaching Program to customers of a Golf Facility unless such services are exclusively identified with the Program Trademark.
Licensees shall be required to report and pay compensation with respect to the Gross Sales generated by any terminated Golf Facility prior to the effective date of such termination, which reports and payments shall be included in the annual statements for all Golf Facilities required under Section 4.2, above.
