This Agreement shall be effective on the Closing Date as such term is defined in the Stock Purchase Agreement, dated as of June 24, 2003 (the “Stock Purchase Agreement”), by and among MGM MIRAGE, Mirage Resorts, Incorporated, GNLV, CORP., GNL CORP., Golden Nugget Experience, LLC and Employer.
