(ggg) sexual-offender” means a person, who commits or attempts to commit or abets the commission of any offence punishable under sections 354, 376, 376-A, 376-B, 376-C,376-D or 377 of the Indian Penal Code (Central Act XLV of 1860) or the Tamil Nadu Prohibition of Harassment of Women Act, 1998 (Tamil Nadu Act 44 of 1998) or the Protection of Children from Sexual Offences Act, 2012 (Central Act 32 of 2012);”.
(ggg). Segment A Pipeline" means Enbridge's proposed gas pipeline from Enbridge's Parkway West meter station to Enbridge's Albion meter station.

(ggg). Run Rate" means the LLC's consolidated annual net earnings before interest, taxes, depreciation and amortization, determined for each calendar year in accordance with GAAP and the accounting principles and practices historically used by ▇▇▇▇▇▇▇▇▇ in preparing the Financial Statements, provided that (1) in every event only costs directly attributable to the LLC's operations will be included in calculating the Run Rate, (2) expenses of a New Business Opportunity (as approved pursuant to the LLC Agreement) will not be included in calculating the Run Rate until 24 months after expenses are first incurred for that New Business Opportunity, (3) in preparing the LLC's consolidated annual net earnings before interest, taxes, depreciation and amortization for a calendar year, the LLC will be deemed to own its proportionate share of BCT's annual net earnings before interest, taxes, depreciation and amortization for that year based on the LLC's proportionate ownership of BCT during that year calculated as though any outstanding unexercised options or rights to purchase securities of BCT have not been exercised, (4) the LLC's revenues shall exclude any rent (but not expense reimbursements) received pursuant to the second sentence of Section 7.3(c) and (5) extraordinary, non-recurring items of revenue and expense will be excluded. The Run Rate will be calculated by reference to the LLC's financial statements prepared in accordance with GAAP and separately audited by an independent accounting firm selected by the Principals and acceptable to WTI, which acceptance will not be unreasonably withheld, and such other books and records as are sufficient to identify the items in clauses (1) through (5). Such direct costs referred to above do not include the costs of support services generally available from WTC but do include the cost of the benefits described in Section 7.3(b). The costs associated with opening and operating the trust and/or banking office described in Section 7.3(c) will not be included in computing the Run Rate.

UNITS" means the units of the Fund created, issued and certified hereunder, including, but not limited to, the Prior Trust Units, the Class A Units, the Class B Units and, after the Reorganization Time, the Class A Units and the Trust Units, provided that the term "Unit" shall not include the Special Voting Unit except where the term "Unit" is used in the definitions of "Ordinary Resolution" and "Extraordinary Resolution" and in Sections 14.02, 14.03, 14.08 and 16.05 hereof and Articles XI and XII hereof;
(ggg). Survey" has the meaning set forth in Section 7C.2 hereof.
(ggg). Person" means any individual, partnership, corporation, Governmental Authority, trust, trustee, unincorporated organization and the heirs, executors, administrators or other legal representatives of any individual.
(ggg). Subsidiaries" has the meaning set forth in the Business Corporations Act (Alberta) or the Business Corporations Act (Ontario), as the case may be;
(ggg). MCNIC Consent" shall mean the Assignment, Consent and Agreement dated as of December 18, 1997 among Panda Global, Panda, the Company, Panda of Nepal, MCNIC, MCNIC Nepal, BKPC, DEG, IFC and the Trustee.
