Gaming Approvals means all licenses, permits, approvals, authorizations, registrations, findings of suitability, franchises, entitlements, waivers and exemptions issued by any Gaming Authority required to permit the parties hereto to consummate the transactions contemplated by this Agreement or necessary to permit Buyer to own the Shares, and the ACBR Entities to operate the Property, in each case, after the Closing in substantially the same manner as owned and operated by Seller and its subsidiaries prior to the Closing.

Gaming Approvals means all state and local authorizations, consents, and regulatory approvals required to consummate the transactions contemplated by the Plan and maintain the Debtors’ casino gaming licenses for their casino properties in the ordinary course.

Gaming Approvals shall have the meaning set forth in Section 4.4(b)(iv).

Gaming Approvals means all Approvals required from the Nevada Gaming Commission, the NGCB and the ▇▇▇▇▇ County Liquor and Gaming Licensing Board in order for Owner to own the Gaming Assets and conduct the Gaming Operations and for Manager to manage the Gaming Operations.
