Future Technology definition

Future Technology means, with respect to a Project Agreement, the primary CMOS semiconductor logic generations with ground rules of less than the logic generation covered by that Development Project.
Future Technology means Future Oncology Technology and Future Non-Oncology Technology.
Future Technology of a Party shall mean all Inventions (i) based upon any Base Technology or other background or pre-existing technology or Intellectual Property Rights of that Party or (ii) relating to the RTFS technology or the Product which are conceived, reduced to practice or created by that Party and/or its Affiliates or agents from and after the Effective Date independently of the other Party. Future Technology may also comprise Inventions as referred to hereabove whose conception, reduction to practice or the creation of which has already started before the Effective Date and/or goes on after the term of this Agreement

  • Licensor desires to have the Existing Licensed Technology further developed and commercialized (the “Future Technology”) and is willing to grant a license to any Future Technology to which Licensor has any right or interest in exchange for the cooperation and other forms of consideration of Licensee set forth in the Other Agreements and set forth as royalty payments in this Agreement.

More Definitions of Future Technology

Future Technology means any Technology that either Party or its Affiliates (other than its Acquirer or such Acquirer’s Affiliates) comes to Control after the Effective Date that is necessary to develop, make, have made, use, sell, offer for sale, import, export or otherwise exploit Compound or Product for the Plan Indication.
Future Technology means, with respect to a Licensor, any and all Technology that is (i) owned, in-licensed or used by such Licensor, (ii) disclosed or otherwise provided by such Licensor to NewCo after the Effective Date (regardless of whether or not such Licensor is obligated to do so), and (iii) not subject to any separate agreement regarding its use or disclosure between NewCo and any of the Licensors entered after the Effective Date other than this Agreement.
Future Technology means any platform technology within the Field not available from Soltec as of the Effective Date, which Soltec develops during the term of the Research Period.
Future Technology means any Invention within the Defined Field made, developed, discovered or disclosed, either solely or jointly, within seven (7) years of the effective date of this agreement by any member or members of the Research Team or any Assistant, and shall include any rights of the University under any domestic or foreign patent applications with respect thereto and any continuations, continuations-in-part and divisionals thereof, and any domestic or foreign patents issuing with respect thereto, including any substitutes or reissues thereof. The determination of whether an Invention is within the Defined Field shall be made by LICENSOR within thirty (30) days of disclosure of such invention. Written notice of such determination shall be given by LICENSOR to LICENSEE within ten (10) days of such determination and if LICENSEE does not agree with said determination, LICENSEE shall give written notice of such disagreement to LICENSOR within ten (10) days of receipt of notice of such determination. If the parties cannot agree as to the determination within thirty (30) days of LICENSEE's notice of disagreement, then LICENSEE may submit the issue to arbitration in accordance with the procedure described herein. In each such instance, LICENSEE shall give written notice to LICENSOR that arbitration under this provision is being invoked, and each party shall thereafter select one individual as an arbitrator within 15 days of such notice. Each of the two arbitrators selected by the parties shall select a third arbitrator and the three arbitrators shall comprise the panel which shall decide the issue. All proceedings under this provision shall be governed by the rules of the American Arbitration Association; provided, however, in any event the proceedings shall be completed and a decision rendered within one hundred and eighty (180) days following the selection of the third arbitrator by the arbitrators selected by LICENSOR and LICENSEE. All decisions rendered by arbitration under this provision shall be final, binding on the parties, not subject to appeal in any court of law or otherwise.
Future Technology has the meaning set forth in Section 2.4 of this Agreement.
Future Technology shall have the meaning set forth in Section 5.2(b)(i)
Future Technology means all Technology that is used by Future, or provided by Future for use, in the performance of Services that is (a) Controlled by Future as of the Effective Date or (b) authored, invented, developed, conceived or first reduced to practice by Future after the Effective Date either (x) other than in performance of the Services; and/or (y) without the use of any Materials or Client Confidential Information; and Improvements to the foregoing (a) and (b). Without limiting the foregoing, Future Technology includes analytical methodology (including, without limitation, testing methods, practices, procedures or other methodological innovations, and reagents and materials related thereto, excluding Materials), methods and processes of manufacturing, and modifications to Future’s facilities and equipment.
