Fully Invested definition

Fully Invested means the point at which an Investor’s Subscription Surplus is less than 10% of his Subscription;
Fully Invested. With respect to the First Offer Period as defined in this Agreement, at least ninety percent (90%) of the net offering proceeds of CWI’s initial public offering or a Follow-On Offering, as applicable, are invested or committed for investment.
Fully Invested occurs, with respect to the Company, when each of the following two conditions has been satisfied: (i) the Company has called not less than 75% of the Capital Contributions that the Unit Holders are required to make pursuant to their Capital Contribution Commitments and (ii) the Company has terminated the Offering because it does not intend to offer any more Units pursuant to Section 3.3.

More Definitions of Fully Invested

Fully Invested means that the Company has invested at least 85% of the net proceeds received by the Company from the sale of the Common Stock on the Closing Date (net of the Company’s organizational and offering expenses and Operating Expenses, including Management Fees, paid by the Company).
