FT Units means the flow-through units of the Company issuable upon the conversion of the FT Subscription Receipts, each of which will be comprised of one FT Share and one Warrant.

FT Units means the flow-through units of the Company offered pursuant to the Offering, each FT Unit consisting of one Flow-Through Share and one FT Unit Warrant.

• The Agent acknowledges that the Subscription Receipts and FT Units have not been and will not be registered under the U.S. Securities Act or the securities laws of any state of the United States and may not be offered or sold within the United States or to or for the account or benefit of a U.S. Person or person in the United States, except in accordance with an applicable exemption from the registration requirements of the U.S. Securities Act and applicable state securities laws.
