The Company undertakes to file, or cause to be filed, all forms or undertakings required to be filed by the Company in connection with the issue and sale of the FT Units and Subscription Receipts so that the distribution of the FT Units and Subscription Receipts may lawfully occur without the necessity of filing a prospectus, a registration statement or an offering memorandum in Canada.
The General Partner is hereby authorized to cause the Partnership to issue Partnership Units designated as Class T Units, Class S Units, Class D Units, Class I Units, Class E Units, Class F-T Units, Class F-S Units, Class F-D Units and Class F-I Units.
As additional consideration for its services, at the Closing Time, the Agent shall be issued that number of broker warrants (“Broker Warrants”), in such manner as directed by the Agent, equal to 10% of the aggregate number of FT Units and Subscription Receipts sold pursuant to the Offering.
The Agent acknowledges that the Subscription Receipts and FT Units have not been and will not be registered under the U.S. Securities Act or the securities laws of any state of the United States and may not be offered or sold within the United States or to or for the account or benefit of a U.S. Person or person in the United States, except in accordance with an applicable exemption from the registration requirements of the U.S. Securities Act and applicable state securities laws.
