The Company and the Promoter Selling Shareholders propose to undertake an initial public offering of equity shares of face value of ₹2 each of the Company (the “Equity Shares”) comprising a fresh issue of up to ₹ 4,000.00 million by the Company (“Fresh Issue”) and an offer for sale of Equity Shares (“Offered Shares”) aggregating up to 11,313,130 Equity Shares by the Promoter Selling Shareholders (such offer for sale, the “Offer for Sale” and together with the Fresh Issue, the “Offer”).
The size of the issue has been reduced by ₹550.00 million and accordingly, the size of the Fresh Issue is up to ₹2,200 million.
Additionally, even if the minimum subscription for 90% of the Fresh Issue is achieved, the Allotment for the balance valid Bids will be made (i) firstly, towards all the Offered Shares of Promoter Selling Shareholder; and (ii) secondly, towards the Equity Shares offered pursuant to the Fresh Issue.
If the Pre-IPO Placement is undertaken, the amount raised pursuant to such Pre-IPO Placement will be reduced from the amount of the Fresh Issue, subject to compliance with the SEBI ICDR Regulations and the Securities Contracts (Regulation) Rules, 1957.
If the Pre-IPO Placement is completed, the amount raised pursuant to the Pre- IPO Placement will be reduced from the Fresh Issue, subject to compliance with Rule 19(2)(b) of the SCRR.
