Framework Term definition

Framework Term means the Initial Period and any period by which the Initial Period is extended in accordance with Clause 3 (Term of Framework Agreement);
Framework Term means the period commencing on the Commencement Date and, subject to earlier termination in accordance with the terms of this Framework Agreement, ending on the Expiry Date;

Examples of Framework Term in a sentence

  • For the avoidance of doubt, no period of suspensions under this clause 30 shall result in an extension of the Framework Term.

  • The Contractor shall at all times, during and after the Framework Term, on written demand indemnify DfE and each other Indemnified Person, and keep DfE and each other Indemnified Person indemnified, against all Losses incurred by, awarded against or agreed to be paid by an Indemnified Person arising from an IPRs Claim.

  • If, during the Framework Term, the Contractor is awarded Call-Off Contracts up to an aggregate value identified in Schedule 4 (Charging Matrix), a volume discount, as set out in Schedule 4 (Charging Matrix), shall apply to the Charges in the Charging Matrix for the remainder of the Framework Term.

  • Subject to clause 14.3, the Charges set out in Schedule 4 (Charging Matrix), shall be fixed for the Framework Term.

  • This clause 19 (Data Protection) shall apply during the Framework Term and indefinitely after its expiry.


More Definitions of Framework Term

Framework Term means the term of this Framework Agreement as set out in clause 2 of Section 2 of the Framework Agreement
Framework Term means the period between the Effective Date and the later of: (a) the date on which the Initial Framework Term ends; and (b) the date on which the Framework Extension Term ends;

Framework Term means, subject to the earlier termination of this Framework Agreement in accordance with clause 24 (Termination), the period of four (4) years from the Commencement Date; "Instruction Enquiry" means a request by the Association and/or Participating Authorities to the Supplier indicating that the Association and/or Participating Authorities wishes to call off the provision by the Supplier of specified Services; "Month" means a calendar month; "OJEU Notice" means the notice in the Official Journal of the Europe an Union with reference number 2013/S 050-081918 advertising this Framework Agreement; "Participating Authorities" means: a) SDSL; and b) SHOL; "Parties" means the Association, the Participating Authorities and the Supplier and "Party" means either the Association, a Participating Authority or the Supplier as appropriate; "Pricing Documents" means the documents set out at Schedule 2 (Pricing Documents) of this Framework Agreement which detail the Framework Rates; "Prohibited Owner" means any entity which itself, or through any affiliate, fails to meet [the Association's] minimum requirements of financial standing and technical capability and/or where, in the reasonable opinion of [the Association], any contractual relationship between the Supplier and the relevant entity could have an adverse effect on the delivery and/or performance of the Services by the Supplier; "Project Participants" means any and all persons who are involved in the provision of Services under a specific Call-Off Contract and indicate their willingness to embrace and adhere to the principles of collaborative working envisaged in this Framework Agreement; "Regulations" means the Public Contracts Regulations 2006 (as amended); "SDSL" means the person named as Southern Development Services Limited at the beginning of this Framework Agreement and such person's successors in title or permitted assignees or transferees; "Services" has the meaning given to it in each Call-Off Contract; "SHOL" means the person named as Southern Home Ownership Limited at the beginning of this Framework Agreement and such person's successors in title or permitted assignees or transferees; “Specification” means Schedule 1 (Specification) of the Call Off Contract/s;
