Former Facilities definition

Former Facilities means any plants, offices, land, manufacturing or other facilities formerly owned, operated, leased, managed, used, controlled or occupied by the Company, or by any current or former subsidiary of the Company.

Former Facilities means any real property (other than the Acquired Facilities) that is or has been owned, leased, or otherwise used on or before the Closing Date for the conduct of the Pre-Closing Seller Operations or which was owned or leased on or before the Closing Date by any member of the Seller Group or the Joint Ventures.

Former Facilities means any plants, offices, land, manufacturing or other facilities formerly owned, operated, leased, managed, used, controlled or occupied by Dock in connection with Dock's business, or by any former subsidiary of Dock or any predecessor-in-interest of Dock.

Examples of Former Facilities in a sentence

• Upon delivery of such notice, the designated Former Facilities will cease to be Facilities hereunder, and Seller will have no further obligation to Buyer hereunder in respect of such Former Facilities, without requiring an amendment of this Agreement and the revised Appendix B and Appendix I included within such notice shall be binding upon the Parties as if set forth herein.

• Dock's business is, and at all times has been, in material compliance with all Environmental Laws then applicable to Dock's business, the Former Facilities, Off-Site Facilities, or the Property.

• Seller has received no notice of any other claim, demand or Action by any individual or entity alleging any actual or threatened injury or damage to any person, property, natural resource or the environment arising from or relating to any Release or threatened Release of any Hazardous Substances at, on, under, in, to or from any Facilities or Former Facilities, or in connection with any operations or activities of Seller.

• Upon delivery of such notice, subject to compliance with the provisions of Section 3.11(d), the designated Substitution Facilities will become Facilities hereunder and the Former Facilities will cease to be Facilities hereunder, without requiring an amendment of this Agreement and the revised Appendix B, Appendix I and Appendix L included within such notice shall be binding upon the Parties as if set forth herein.

• Seller has not received any notice of alleged, actual or potential responsibility for, or any inquiry or investigation regarding, (i) any Release or threatened Release of any Hazardous Substance at any location, whether at the Facilities, the Former Facilities or otherwise or (ii) an alleged violation of or non-compliance with the conditions of any Permit required under any Environmental Law or the provisions of any Environmental Law.

Former Facilities any real property, leaseholds, or other interests formerly owned or operated by VSI or Seller and any buildings, plants or structures formerly owned or operated by VSI or Seller.
