Forfeitable Shares definition

Forfeitable Shares means Shares held in the name of or for the benefit of a Participant subject to the Forfeitable Share Agreement;
Forfeitable Shares means any Shares with respect to which the restrictions have not lapsed in accordance with the Schedule set forth on Annex 1.
Forfeitable Shares means Shares comprised in a Forfeitable Shares Award which are subject to certain restrictions and forfeiture under the Plan;

Examples of Forfeitable Shares in a sentence

  • The limitations set forth in the preceding sentence shall not apply after the Forfeitable Shares are no longer forfeitable.

  • All certificates representing Forfeitable Shares shall remain in the possession of the Company until such shares become Vested Shares in accordance with the terms of this Agreement.

  • Upon any attempt to transfer, assign, pledge, hypothecate or otherwise dispose of any Forfeitable Shares, or upon the levy of any attachment or similar process upon Forfeitable Shares, the Company shall have a right of Forfeiture with respect to such Forfeitable Shares.

  • On the lapse of an Award of Forfeitable Shares, a Participant must transfer his interest in the Shares in accordance with the Forfeitable Share Agreement.

  • If any such amounts that are owed or to be owed to the Company under this Section or that would be owed to the Company upon the lapsing of forfeiture restrictions the stated time for which has already passed (as determined by the Company) are not paid in full and in immediately available funds prior to the end of such 45-day extension period, then all of the Forfeitable Shares of Employee relating to such delinquent payment(s) shall be permanently forfeited hereunder.


More Definitions of Forfeitable Shares

Forfeitable Shares means Shares held in the name of or for the benefit of a Participant subject to the Forfeitable Share Agreement and granted in accordance with rule 3;
Forfeitable Shares shall have the meaning set forth in Section 9.04.
Forfeitable Shares means the restrictions in the Forfeitable Share Agreement ceasing to have effect as described in rule 3.6.2(i);
Forfeitable Shares means those Exchangeable Shares issued pursuant to the Plan of Arrangement in exchange for LIPO Canada Shares which were designated as “forfeitable shares” pursuant to the LIPO Option Plan, until such shares cease to be forfeitable in accordance with the conditions set out in Appendix A.
Forfeitable Shares shall have the meaning set forth in Section 9.04 of this Plan.
Forfeitable Shares means those LIPO Canada Shares which are designated as “forfeitable” in accordance with the terms of the LIPO Canada Option Plan and the terms of the options with respect to which such shares were initially issued;
Forfeitable Shares means any shares of Series B Preferred Stock that have become subject to a Forfeiture Triggering Event.
