Foreground Technology definition

Foreground Technology means the Intellectual Property Rights in any Confidential Information, Technical Data, Computer Software, Source Code, and Inventions created, conceived, or developed by the personnel of a Party in the performance of this Contract or resulting from access to the Confidential Information of the other Party.
Foreground Technology means the Technology which has been or will be developed solely by either Party or jointly by the Parties hereto arising as a result of and directly in the course of the Technical Cooperation Project.
Foreground Technology means the inventions (not necessarily patentable), patent(s), including any improvements, continuation, divisional applications derived from such patent(s), trade secrets, know-how, software, designs, written works, samples, biological materials, and technical information (confidential or not) relating to novel molecules resulting from the combination of the NRC Technology and the Licensee Technology. Such Foreground Technology is proprietary to NRC.

  • Subject to the terms of this Section 7.2, all right, title and interest in and to the Foreground Technology will be jointly owned by Biotheus and Talem without regard to inventorship.

More Definitions of Foreground Technology

Foreground Technology means technology that is prepared, conceived or reduced to practice and any subsequent modification or improvement thereof by either party in the performance of this Agreement. Nothing in this Agreement will be deemed to transfer from either party to the other any rights in any Foreground Technology.
Foreground Technology means Technology, including any Recipes, conceived after the Effective Date by one or more employees, agents or contractors of any one of the Parties, or jointly by at least one employee, agent or contractor of one Party with at least one employee, agent or contractor of at least one other Party.

The parties acknowledge that the inclusion of Background Technology, Developed Technology or Company Technology in a Foreground Technology Patent claim or disclosure shall not be interpreted as converting such Background Technology, Developed Technology or Company Technology into Foreground Technology.
Foreground Technology means, in respect of a particular R&D Project, any Technology developed either individually or jointly by or on behalf of the Parties in the course of the applicable R&D Project.
Foreground Technology means technology that is prepared, conceived or reduced to practice by either party during the term of this Agreement.
Foreground Technology means any Intellectual Property and Deliverables created or developed under this Agreement and falling within the Collaboration Field;
