Force Majeure Condition definition

Force Majeure Condition means a force majeure event or condition described in Paragraph 3.15, Force Majeure.
Force Majeure Condition means any condition or event beyond the reasonable control of the party affected thereby, including fire, explosion, or other casualty, act of God, war or civil disturbance, acts of public enemies, embargo, the performance or non-performance of third parties, acts of city, state, local or federal governments in their sovereign, regulatory, or contractual capacity, labor difficulties, and strikes, but specifically excluding a party's failure to be Year 2000 Compliant. If a Force Majeure Condition occurs, the party delayed or unable to perform shall give prompt notice of such occurrence to the other party. The party affected by the other party's inability to perform may, after sixty (60) days, elect to either terminate this Agreement or continue performance with the option of extending the terms of the Agreement up to the length of time the Force Majeure Condition endures. The party experiencing the Force Majeure Condition must inform the other party in writing when such a condition ceases to exist. Each party shall, with the cooperation of the other, exercise all reasonable efforts to mitigate the extent of a delay or failure resulting from a Force Majeure Condition.
Force Majeure Condition shall have the meaning set forth in Section 15.6 hereto.

Force Majeure Condition is a cause or condition preventing performance that is beyond the control of the Party claiming excuse, including acts of God, acts of the public enemy, terrorist acts, labor disputes, strikes, acts of a governmental authority in the jurisdiction where the CMT System or any Service is being or is to be provided, wireless network outages, fires, floods, epidemics, quarantine restrictions, and freight embargoes. Performance times under the Agreement shall be considered extended for a period of time equivalent to the time lost because of any delay excused under this Section.

Force Majeure Condition means fire or explosions; acts of God, including floods, hurricanes, tornadoes, earthquakes, unusually severe weather, and natural disasters; labor disturbances affecting Carriers, ports, terminals or other elements of the transportation networks or creating a reasonable concern regarding driver safety; war, insurrection, terrorism or riots; acts of the public enemy; acts of governmental authority; embargo; epidemics; quarantine restrictions; a declaration of force majeure by a Carrier providing services pursuant to this Agreement, where there is no reasonable alternative Carrier to perform such services; or similar event or condition beyond the reasonable control of a party hereto. In the event either party disagrees as to the existence of a Force Majeure Condition in accordance with the terms set forth herein, the parties shall have such issue resolved by reference to an independent arbitrator mutually agreed by the parties (or appointed by the American Arbitration Association upon the application of either party if the parties are unable to agree to an arbitrator within five (5) Business Days of the request for arbitration by either party). Such proceeding shall be an expedited proceeding dealing solely with the existence of a Force Majeure Condition, and the arbitrator shall be directed to issue its judgment within no more than ten (10) Business Days.
