First Lien Notes Documents definition

First Lien Notes Documents means any documents or instrument evidencing or governing any First Lien Notes Obligations.

First Lien Notes Documents means the First Lien Indenture, the First Lien Notes, the First Lien Note Guarantees, the First Lien Security Documents and the First Lien/Second Lien/Third Lien Intercreditor Agreement.

First Lien Notes Documents means the indentures under which the First Lien Notes are issued and all other instruments, agreements and other documents evidencing or governing the First Lien Notes or providing for any security, guarantee or other right in respect thereof.

Examples of First Lien Notes Documents in a sentence

• Subject to the occurrence of the Effective Date, the PropCo First Lien Credit Agreement Documents, PropCo First Lien Notes Documents, and PropCo Second Lien Notes Documents shall constitute legal, valid, and binding obligations of PropCo and its applicable subsidiaries (but not, for the avoidance of doubt, CPLV Sub or CPLV) party thereto and shall be enforceable in accordance with their respective terms.

• Subject to the occurrence of the Effective Date, the OpCo Market Debt Documents, the OpCo First Lien Loan Agreement Documents (if any), and the OpCo First Lien Notes Documents (if any), shall constitute legal, valid, and binding obligations of the Reorganized Debtors party thereto and shall be enforceable in accordance with their respective terms.

• Each Borrower and each Guarantor further acknowledges and agrees that it is not an intended beneficiary or third party beneficiary under this Agreement and that the ABL Documents and First Lien Notes Documents remain in full force and effect as written.

• First Lien Notes Documents (as hereinafter defined), the First Lien Notes Guarantors have provided guarantees and security for the First Lien Notes Obligations .

More Definitions of First Lien Notes Documents

First Lien Notes Documents means, collectively, the 6.625% First Lien Notes Documents, the 10.000% First Lien Notes Documents, and the 10.375% First Lien Notes Documents.

First Lien Notes Documents means the First Lien Notes Indenture and all other instruments, agreements and other documents executed and delivered with respect to the First Lien Notes Indenture (including, without limitation, the notes issued thereunder), as in effect on the Effective Date (or, to the extent any entered into after the Effective Date in accordance with the terms of this Agreement, as in effect on the original date thereof) and as the same may be amended, restated, modified or supplemented from time to time in accordance with the terms hereof and thereof.

First Lien Notes Documents means the 2025 First Lien Notes Documents and the 2028 First Lien Notes Documents.

First Lien Notes Documents means the First Lien Notes Indenture, the First Lien Notes, the First Lien Notes Collateral Documents, all documents evidencing Future Notes Obligations, those other ancillary agreements as to which the First Lien Notes Agent, the First Lien Notes Trustee, or any First Lien Notes Holder is a party or a beneficiary and all other agreements, instruments, documents and certificates, now or hereafter executed by or on behalf of any First Lien Notes Party or any of its respective Subsidiaries or Affiliates, and delivered to the First Lien Notes Agent or the First Lien Notes Trustee, in connection with any of the foregoing or any First Lien Notes Indenture, in each case as the same may be amended, supplemented, restated or otherwise modified from time to time in accordance with the terms thereof.

First Lien Notes Documents means the Collateral Trust and Agency Agreement, the First Lien Notes Indenture, the First Lien Notes, the Collateral Documents and other agreements, certificates and instruments delivered or given or continued pursuant to or in connection with the First Lien Notes Indenture and all guarantees of the foregoing, as the same may be amended, restated, replaced, modified, supplemented or otherwise changed from time to time, and “First Lien Notes Document” means any of the First Lien Notes Documents.

First Lien Notes Documents means the First Lien Notes Indenture and all related amendments, supplements, notes, pledges, collateral agreements, loan and security agreements, instruments, mortgages, control agreements, deeds of trust and other documents or instruments executed or delivered in connection with the First Lien Notes Indenture, in each case as amended, restated, supplemented, or modified from time to time.

First Lien Notes Documents means the First Lien Notes Indenture and each of the other documents, agreements, and instruments (including, without limitation, all collateral documents) executed and delivered from time to time in connection with the First Lien Notes.
