First Commercial. Sale shall mean the date of first invoice of Desitin for deliveries to wholesalers, hospital pharmacies, pharmacies or other independent parties;

HGF shall have the meaning set forth in the second whereas clause. ICH means International Council for Harmonisation of Technical Requirements for Pharmaceuticals for Human Use. Indemnifying Party shall have the meaning set forth in Section 9.4(a). Indemnitee shall have the meaning set forth in Section 9.4(a). IV shall mean intravenous. JDC shall mean Joint Development Committee as set forth in Section 11.2(a).
