Financing Price definition

Financing Price means the price per equity security or conversion price of an equity security or equity-linked security issued to the investors investing new money in the Company in connection with the initial closing of an Equity Financing.
Financing Price means the price per share or unit, as applicable, for the securities issued in the Qualified Financing.
Financing Price means the price per share or other unit at which the Company sells its equity securities, or debt securities convertible into Common Stock, in the first Financing following the date hereof.

Examples of Financing Price in a sentence

  • The number of shares of the CF Shadow Series of such Preferred Stock shall equal to the quotient obtained by dividing (x) the Purchase Amount by (y) the First Financing Price.

  • The number of shares of the CF Shadow Series of such Capital Stock shall equal to the quotient obtained by dividing (x) the Purchase Amount by (y) the First Financing Price.

  • The number of shares of the CF Shadow Series of such Preferred Securities shall equal to the quotient obtained by dividing (x) the Purchase Amount by (y) the First Financing Price.
