Purchaser has fully paid (or caused to be paid) any and all commitment fees and other amounts that are due and payable on or prior to the date of this Agreement in connection with the Debt Financing.
The Issuer has not authorized the filing of and is not aware of any Financing Statements against the Issuer that include a description of collateral covering the Assets other than any Financing Statement relating to the security interest granted to the Collateral Trustee hereunder or that has been terminated; the Issuer is not aware of any judgment, PBGC liens or tax lien filings against the Issuer.
None of the Financing Related Persons will have any liability to the Sellers relating to or arising out of this Agreement, the Debt Financing or the transactions contemplated hereby and thereby, whether at law or in equity, in contract, in tort or otherwise, and the Sellers will not have any rights or claims against any of the Financing Related Persons relating to or arising out of this Agreement, the Debt Financing or the transactions contemplated hereby and thereby.
For clarity, there shall be no such reduction to the Equity Financing Commitment or the other equity financing commitments under the Other Equity Commitment Letters in respect of the shares of Company Common Stock constituting the Rollover Minimum under the Voting and Rollover Agreement.
The amount to be funded under this letter agreement may be reduced dollar for dollar (any such reduction to be allocated between the Equity Investors on a pro rata basis) solely to the extent that the Parent Entities do not require the full amount of the Equity Financing Commitment in connection with the payment of the Financing Amounts.
