Subject to the terms and conditions set forth herein and in the Orders, each Term Lender agrees, severally and not jointly, to make term loans (each a “Term Loan”) in Dollars to the Company from time to time on any Business Day on or after the Effective Date and prior to the date that is two Business Days following the Final Order Entry Date in not more than two draws in an aggregate principal amount not to exceed its respective Term Commitment.
For the avoidance of doubt, any unused Term Commitments shall terminate on the date that is three Business Days following the Final Order Entry Date (or, if earlier, the Termination Date).
On the Final Order Entry Date, the Borrower shall make an additional Borrowing of New Money Delayed Draw Term Loans in an aggregate amount equal to $15,150,000 (the “Final New Money Delayed Draw Term Loan”).
Use commercially reasonable efforts (i) to cause the Term Facility to receive a rating from each of ▇▇▇▇▇’▇ and S&P prior to the Final Order Entry Date, or as soon as possible thereafter, and (ii) to cause a rating from each of ▇▇▇▇▇’▇ and S&P with respect to the Term Facility to be in effect and at all times prior to the Term Facility Termination Date (for the avoidance of doubt, there shall be no obligation to maintain any specific rating).
On the last Business Day of each week following the Closing Date, the Borrower shall not allow Liquidity to be less than (a) prior to the Final Order Entry Date, $15,000,000 and (b) thereafter, $25,000,000, in either case on the last Business Day of two consecutive such weeks.
