The Break-Up Fee shall be paid (x) in the case of clause (i), substantially concurrently with such termination, and (y) in the case of clause (ii), within two (2) Business Days following consummation of such Alternative Transaction, as applicable.
By its signature below, ▇▇▇▇▇ Fargo, in its capacities as Custodian, Controlled Account Bank and Backup Servicer, hereby consents to, ratifies and confirms this Amendment and the Amended Fee Letter.
