Upon the Company or the Master Servicer obtaining actual knowledge of the occurrence of a Facility Event, the Master Servicer shall give prompt written notice thereof to the Collateral Agent, the Administrative Agent, each Funding Agent and, from and after the appointment of a Back-Up Servicer, the Back-Up Servicer.

Facility Event means any event held at the Facility, including concerts, speaking engagements, conferences, hospitality events, functions, banquets and fan activities for which advance ticket sales for entry to the Facility Event are available. Customer cover charges for entry to all or any part of the Facility shall not be deemed an advance ticket sale. A Landlord Event shall be deemed a Facility Event.

Facility Event means an event that materially impairs the economic utility or operational efficiency of the Facility to the Trust due to the fact that the Trust is not permitted by Applicable Law to sell all of the Capacity of the Facility, or to transport, process and treat all Waste Water delivered to the Facility.

For purposes hereof, the term sale or sold shall each mean the transfer of control of a Facility (i.e. the ultimate decision-making authority with respect to a Facility or the entity that owns such Facility) to an entity, including any affiliates of such entity, other than GSCP, Constellation or an affiliate of either such person.

Facility Event means, in relation to a Warehouseman: (a) it ceases to be authorized to operate as such or able to provide safe and secure storage of Commodities; (b) it suffers an event or circumstance set out in Section 5(a)(vii) of the Agreement; (c) a Document of Title issued by such Warehouseman ceases to be valid for the purposes of delivery in connection therewith and such Document of Title is not re-designated as valid or replaced with equivalent and a valid Document of Title within fifteen (15) days of being declared invalid; provided that Documents of Title issued by such Warehouseman were valid for the purposes of delivery in connection with the Documents of Title prior to delivery of a Rejection Event Notice; (d) its relevant Approved Storage Facility ceases to be subject to a Creditor Acknowledgement or Storage Agreement, as applicable, for any reason whatsoever; or (e) it is designated as an asset freeze target or in any other manner becomes the subject of Sanctions;
