Facility Employees shall have the meaning specified in Section 4.11(a).

Facility Employees means those custodial personnel with titles such as jailer, deputy, counselor, correctional officer or any other title which signifies the duty of supervision of inmates in the community residential facility.

Examples of Facility Employees in a sentence

• Transferor will terminate the employment of each of the Facility Employees as of the Closing Date.

• Facility Employees shall include, but not be limited to, any employees who are on medical disability or leaves of absence and who worked at the Facility immediately prior to such disability or leave who are able to perform the essential functions of the position with or without a reasonable accommodation, and who are qualified for the position.

• New Manager agrees that, in entering into this Agreement and all of the documents contemplated by this Agreement, it has conducted due diligence with respect to the financial condition of the Facility, the Facility’s provider numbers and provider and reimbursement agreements, the Transferred Assets, the Operating Contracts and the Facility Employees and that New Manager has not relied on any express or implied representation or warranty by Transferor not expressly contained in this Agreement.

Facility Employees shall have the meaning set forth in Section 2.06(a).

Seller shall provide a final Schedule 1.1(b) to Purchaser at least five Business Days prior to the date that Purchaser is required to make offers of employment to any Facility Employees pursuant to Section 7.4(a).
