Facility Assets definition

Facility Assets means all of Respondents’ rights, title, and interests in and to the following:

Facility Assets means any rights, property and assets, whether real or personal and whether tangible or intangible, required to design, construct, operate, maintain, rehabilitate or modify the Facility, or required for use of the Site, including any contract or engagement for such purpose, Permits and any land tenure and land tenure agreements.

Facility Assets has the meaning set forth in Section 14.25(a), as further defined in the Option Agreement.

• In addition to the Events of Default described in Section 9.1, it shall constitute an Event of Default by Seller hereunder if: Taking of Facility Assets.

• To the knowledge of the Authority, the factual and past historical information regarding the LMM Airport Facility, the LMM Airport Facility Operations and the LMM Airport Facility Assets that the Authority provided to the Lessee in the virtual data room for this transaction at xxxxx://xxx.xxxxxxxxxxxx.xxx was complete and accurate in all material respects at the time such information was provided.

More Definitions of Facility Assets

Facility Assets means the land, land improvements, buildings, fixtures, chemical processing equipment, pumps, piping and wiring, transformers, substations, storage tanks, pollution control, office furniture, office equipment, computers and software, laboratory equipment, vehicles and lift trucks (other than railcars, rolling stock, or titled vehicles), as more particularly described on (i) Part A of Schedule 1.01(c), with respect to the Cherokee Site and the Facility Assets therein, and (ii) Part B of Schedule 1.01(c), with respect to the El Dorado Site and the Facility Assets therein.

Facility Assets means each and all of the assets of which a Facility is comprised, including solar energy panels, mounting systems, tracking devices, inverters, integrators and other related equipment and components installed on the Properties, electric lines and conduits required to connect such equipment to the Delivery Point and the LDC Facilities, protective and associated equipment, improvements, Metering Devices, and other tangible and intangible assets, permits, property rights and contract rights reasonably necessary for the construction, operation, and maintenance of the Facilities.

Facility Assets means all moveable and immovable assets relating to and forming part of the Facility as on the date of completion of construction or as may be added or replaced or renovated or modernized by the Authorisee from time to time during the tenure of the Agreement.

Facility Assets means, with respect to each of the Divested Assets:

Facility Assets means the land, land improvements, buildings, fixtures, chemical processing equipment, pumps, piping and wiring, transformers, substations, storage tanks, pollution control, office furniture, office equipment, computers and software, laboratory equipment, vehicles and lift trucks (other than railcar rolling stock or titled vehicles), as more particularly described on (i) Part A of Schedule 1.01(c), with respect to the Cherokee Site and the Facility Assets therein, and (ii) Part B of Schedule 1.01(c), with respect to the El Dorado Site and the Facility Assets therein.

Facility Assets means any and all assets relating to the production, handling, loading, or unloading of methanol or otherwise relating to methanol located at the Beaumont Facility or the DuPont Wharf including, without limitation, buildings and fixtures, leasehold improvements, Beaumont Storage Tanks, Beaumont Slip, and all related improvements and equipment, including, without limitation, pumps, hoses, pipelines, and any and all other equipment or assets used in connection with methanol or otherwise to operate the Beaumont Facility, the DuPont Wharf or the Facility Pipelines.

Facility Assets means all of Respondent Integra’s rights, title, and interests in and to the following:
