Extended Maturity Date means, if the Extension Period becomes effective pursuant to this Note, the earlier of (i) December 1, 2016, and (ii) the date on which the unpaid principal balance of this Note becomes due and payable by acceleration or otherwise pursuant to the Loan Documents or the exercise by Lender of any right or remedy thereunder.
However, so long as (i) the Initial Maturity Date has not occurred prior to the Scheduled Initial Maturity Date, and (ii) no Event of Default or event or circumstance which, with the giving of notice or passage of time or both, could constitute an Event of Default exists on the Scheduled Initial Maturity Date, then the Extension Period automatically will become effective and the date for full payment of the Indebtedness automatically shall be extended until the Extended Maturity Date.
All references in this Agreement and in the other Loan Documents to the Maturity Date shall mean the applicable Extended Maturity Date in the event the applicable Extension Option is exercised.
In that case the EMCP note will mature on the Extended Maturity Date, which will be the date that is 270 days after its original issue date.
Each EMCP note will bear interest from the Original Maturity Date at the Reset Rate and will be payable first on the date described above and thereafter, on the first Business Day of each month and on any redemption date or the Extended Maturity Date.
First Extended Maturity Date shall have the meaning set forth in Section 5(a).
More definitions of Extended Maturity Date
Extended Maturity Date means, as applicable, either (a) the Qualified Extended Maturity Date as set forth in Section 2.7.2 hereof, or (b) the Non-Qualified Extended Maturity Date as set forth in Section 2.7.1 hereof.
Extended Maturity Date means the earlier to occur of (i) January 5, 2005, or (ii) the date on which the outstanding principal amount evidenced by this Note and all accrued interest thereon shall be paid or be required to be paid in full, whether by prepayment, acceleration or otherwise.
