All references herein to the Maturity Date shall mean Initial Maturity Date, provided that, subject to clauses (a) and (b) below, Borrower shall have the right to extend the Maturity Date for an additional twelve (12) month term on no more than two (2) occasions (the “First Extension Option” and the “Second Extension Option”, respectively) thereby extending the Maturity Date to the First Extended Maturity Date and the Second Extended Maturity Date, respectively.
The Extended Maturity Date shall be not more than four years after the Extension Date.
If written approval of the Required Lenders is received by the Administrative Agent by the Extension Response Deadline, the Termination Date shall be extended to the Extended Maturity Date but only with respect to Commitments of the Lenders that have given such written approval (the “Extending Lenders”).
The Extension Request must specify the new Revolving Credit Facility Termination Date or, in the case of any Series of Incremental Term Loans, the extended maturity date thereof (the “Extended Maturity Date”), requested by the Borrower with respect to such Series or portion of the Revolving Credit Commitments or Incremental Term Loans thereunder (the date, if any, on which such Extended Maturity Date becomes effective, the “Extension Date”), which shall be not more than five years after the Extension Date.
The Extension Request must specify the new Termination Date (the “Extended Maturity Date”), requested by the Borrower with respect to the Revolving Credit Facility or portion of the Commitments thereunder (the date, if any, on which such Extended Maturity Date becomes effective, the “Extension Date”).
