Expansion Commencement Date definition

Expansion Commencement Date when used in this Amendment shall mean the earlier to occur of (i) the date Substantial Completion of the Expansion Improvements occurs, or (ii) May 1, 2013 (the “Outside Date”); provided, however, if the construction contract with the Contractor selected to perform the construction of the Expansion Improvements in accordance with New Exhibit “D” attached hereto provides for a completion date that is later than Outside Date and/ or Tenant Delays occur, the Outside Date will be extended on a day-to-day basis based on the number of additional days the construction contract contemplates for completion and the number of days of Tenant Delays so long as the Expansion Completion Date is not extended beyond June 1, 2012 for any reason other than Landlord Delays (as defined in New Exhibit “D”). More Definitions of Expansion Commencement Date

Expansion Commencement Date with respect to each portion of the Expansion Premises shall mean the date which is four (4) months after Landlord delivers possession of each portion of the Expansion Premises to Tenant. Subject to the occurrence of the following: (i) mutual execution of this Eighth Amendment, and (ii) receipt by Landlord of the amount set forth in Paragraph 5 below, together with proof of insurance required pursuant to Paragraph 23 of the Lease, Landlord agrees to give Tenant (and its employees, agents and contractors) reasonable access to the Expansion Premises (the “Early Access”) during the fifteen (15) day period immediately prior to the Expansion Commencement Date (the “Early Access Period”), during the course of Landlord’s performance and completion of the Landlord Work, for the limited purpose of Tenant’s initial setup and fixturization of the Expansion Premises. Such Early Access shall be subject to the following conditions:
Expansion Commencement Date is hereby defined to be and to mean August 1, 2021. In the event that the Delivery Date has not occurred on or before August 1, 2021 (as may be extended due to any delay caused by Tenant or force majeure) (“Substantial Completion Deadline”) Tenant shall be entitled to one day of free Base Rent for every day of such delay after the Substantial Completion Deadline.
