The Loan together with (i) accrued and unpaid interest thereon, and (ii) the Exit Fee, shall be due and payable in immediately available funds on the Maturity Date; provided, however, no Exit Fee shall be owed if the Loan is terminated due to a Mandatory Termination Event (unless a Mandatory Termination Event occurs pursuant to clause (b) of the definition thereof and such event was caused by actions taken by Borrower or any Affiliate thereof).
Any optional or mandatory prepayment of a Term Loan shall be accompanied by all accrued interest on the amount so prepaid plus the Exit Fee applicable to the amount so prepaid.
Each such notice shall be irrevocable and shall specify the prepayment date and the principal amount of each Borrowing or portion thereof to be prepaid and the applicable Exit Fee.
The Exit Fee and all fees accrued until the effective date of any termination of the aggregate Revolving Commitments will be due and payable on the effective date of such termination.
