Existing Rights definition

Existing Rights refers to any intellectual property right, including existing technologies, held by Expertise France, the Contractor or any interested party prior to the order whose implementation is provided for by the provisions of the Contract.
Existing Rights mean the preferred stock purchase rights issued by the Company to its stockholders on July 12, 1996, each of which Existing Rights, when exercisable, entitles the holder to purchase from the Company one one-hundredth of a share of Series A Preferred Stock at a price of $100.00 (subject to anti-dilution adjustment).
Existing Rights means all Rights (including stock options issued pursuant to the Corporation's 1993 Stock Option Plan and the Corporation's 1994 Stock Option Plan) and Convertible Securities, including the Series A Preferred Stock but not including any Series B Shares, which were outstanding at the Closing Time.

  • Seller shall notify TI in advance of any Pre- Existing Rights to be embedded in or made an integral part of any goods and/or Work Product provided to TI hereunder.

Existing Rights means all Rights (including stock options issued pursuant to the Corporation's Stock Option Plans) and Convertible Securities, not including any Series B Shares or Warrants, which were outstanding, or which the Corporation had agreed to issue, at the Closing Time and disclosed on a schedule to the Purchase Agreement.
Existing Rights shall have the meaning set forth in section 3.2.5.
Existing Rights means the existing licenses, sublicenses, and other rights and obligations (as set forth below in this definition) under the Assigned Patent Rights and/or Assigned Abandoned Rights that have been granted or retained by Seller, Affiliates of Seller, or prior owners or inventors of the Assigned Patent Rights and the Assigned Abandoned Rights prior to the Effective Date, including, without limitation, any covenants not to ▇▇▇, standstill agreements, and releases that by their terms run with the Assigned Patent Rights and/or the Assigned Abandoned Rights or which Seller or its Affiliates are required to have a subsequent assignee of the Assigned Patent Rights comply with, and including, without limitation, the Extension Rights. Notwithstanding anything to the contrary in this Agreement, the Existing Rights for the purpose of this Agreement do not include any rights under, to or in, or any duties or obligations with respect to (i) any intellectual property that is not the Assigned Patent Rights or (ii) any intellectual property of Purchaser or Affiliates of Purchaser.
Existing Rights means the patents, patent applications, trademarks, trade names and other Intellectual Property listed on Schedule 1(d) hereto.

Sainer and Marcia Sainer, as trustees of the Elliot and Marcia Sainer Family Trust, u/t/d April 10, 1996, (f) that certain Warrant issued by the Corporation to DLJ Capital Corp, (g) that certain Warrant issued by the Corporation to DLJ ESC II, L.P., (h) that certain Warrant issued by the Corporation to Sprout Capital VIII, L.P., (i) that certain Warrant issued by the Corporation to Sprout Venture Capital, L.P., (j) that certain Warrant issued by the Corporation to Sprout Growth II, L.P., (k) that certain Warrant issued by the Corporation to Libra Mezzanine Partners II, L.P., (l) that certain Warrant issued by the Corporation to Libra Mezzanine Partners II-A, L.P., (m) that certain 7% Convertible Promissory Note issued by the Corporation in favor of the Leeway School for Educational Therapy, as each may be amended from time to time with the approval of the Board, or (n) that certain 1998 Stock Performance Plan, dated as of November 4, 1998, as may be amended from time to time by the Board.
Existing Rights means any piggy-back registration rights of Other Shareholders as of the date of this Agreement.
