Existing Policies definition

Existing Policies has the meaning set forth in Section 5.14(a).
Existing Policies means (1) the Company’s estate tax repurchase policy under which the Company repurchases a portion of a deceased stockholder’s shares to generate funds for payment of estate taxes and (2) the Company’s valuation policy under which the Company obtains an annual valuation of the Company’s common stock, as both policies exist at the Issue Date or as they may exist from time to time, provided that if either of these policies is materially amended after the Issue Date in a manner less favorable to the Company than the policy as existing on the Issue Date, then that amended policy shall be deemed not to be an Existing Policy.
Existing Policies means all policies of insurance existing immediately before the commencement day being policies that were issued by the Corporation or policies under which the Corporation had undertaken liability;

More Definitions of Existing Policies

Existing Policies shall have the meaning set forth in Section 2.3(a).
Existing Policies means the Transferable Boudin Policies, the Transferable Creole Policies, the Wholly Retained Boudin Policies, and the Wholly Retained Creole Policies. “Insured,” as a noun in reference to one or more insurance policies, means any Person who is insured by such policy or policies, regardless of whether such Person is designated an “Insured” or a “Named Insured” in such policy or is otherwise expressly identified therein.
Existing Policies means the policies as set forth in Section 1.02(b) of the Parent Disclosure Schedule.
Existing Policies has the meaning set forth in Section 7.5(c).
Existing Policies shall have the meaning assigned to such term in Section 4.1 of this Agreement.
