The Contractor hereby grants to the Purchaser a perpetual, irrevocable (except under the conditions of Clause 22(I) below), royalty-free, non- transferable and non-exclusive license to use and install the Licensed Software on and in conjunction with the Systems and/or the Existing Network.
If any part of the Systems or the Existing Network becomes temporarily inoperable, then the License is deemed to apply to the use of the Licensed Software on other equipment which is under the Purchaser's control, without any additional payment to the Contractor but at the Purchaser's risk and expense (except where the Systems are defective), until the Systems and/or Existing Network becomes operable.
If NFN's use of the Existing Network and the Extended Network results in the necessity of additional construction, installation, maintenance or repair in order to comply with NFN's obligations hereunder, NFN at all times shall remain responsible for all costs and expenses of same and shall proceed with such additional construction promptly and in a diligent and workmanlike manner consistent with the technical and engineering standards contemplated herein.
NFN shall be responsible for, and shall provide directly, all maintenance and repair on the Existing Network and the Extended Network in a diligent, expeditious, good and workmanlike manner, using first class workmanship and materials, and NFN shall use its best efforts to cause the Extended Network to remain in good working order and condition at all times.
Ten (10) days --------- following the end of any month in which a Termination Date has occurred, IDT shall refund to Net2Phone upon the request of Net2Phone that portion of the Existing Network Fee for such month representing the per diem charge for each circuit deemed terminated during such month (based on mileage) for the number of days in such month following the Termination Date with respect to such circuit.
