Upon, and subject to the consummation of, a Change in Control, provisions regarding acceleration of vesting, lapse of repurchase right, exercisability and the like which are triggered solely upon the occurrence of such Change in Control as set forth in any Existing Equity Award shall remain in full force and effect with respect to such Existing Equity Award.
This Agreement, together with the Confidentiality Agreement, the Severance Agreement and the stock options granted to you by the Company under the Existing Equity Documents, constitute the entire agreement between you and the Company regarding the material terms and conditions of your employment, and they supersede and replace all prior negotiations, representations or agreements between you and the Company.

Existing Equity Holders Holders (collectively, “Existing Equity Holders”) of all equity interests and options to purchase equity interests in the Company, including, without limitation, the 150,940,973 shares of common stock in the Company, as of March 31, 2017, and the ▇▇▇▇▇ warrants issued in connection the Company’s exchange offer and incurrence of the Term Loan in April 2016 (collectively, the “Existing Equity Interests”).
