As at the date of this Agreement, the Company’s paid-up share capital amounts to Euro 1,171,459,429.71 (the "Existing Capital") and is divided into 490,150,389 common registered shares each having a nominal value of Euro 2.39 (the "Existing Shares").
The holders of the Existing Capital Stock (or rights to acquire Existing Capital Stock) shall not receive any equity or other interest in Reorganized Prosoft and shall not receive any other consideration in exchange for the Existing Capital Stock (or rights to acquire Existing Capital Stock).
