Executive’s Representation. Executive hereby warrants and represents to the Company that Executive has carefully reviewed this Agreement and has consulted with such advisors as Executive considers appropriate in connection with this Agreement, and is not subject to any covenants, agreements or restrictions, including without limitation any covenants, agreements or restrictions arising out of Executive’s prior employment which would be breached or violated by Executive’s execution of this Agreement or by Executive’s performance of his duties hereunder.
Executive’s Representation. The Executive hereby represents and warrants to the Company that he is not now under any contractual or other obligation that is inconsistent with or in conflict with this Agreement or that would prevent, limit, or impair the Executive’s performance of his obligations under this Agreement.
Executive’s Representation. The Executive represents and warrants to the Company that there is no legal impediment to him performing his obligations under this Agreement and neither entering into this Agreement nor performing his contemplated service hereunder will violate any agreement to which he is a party or any other legal restriction.
Executive’s Representation. The Executive hereby represents that the Executive’s entry into this Agreement and performance of the services hereunder will not violate the terms or conditions of any other agreement to which the Executive is a party.
Executive’s Representation. The Executive represents to the Company that the Executive's execution and performance of this Agreement does not violate any agreement or obligation (whether or not written) that the Executive has with or to any person or entity including, but not limited to, any prior employer.
Executive’s Representation. The Executive represents and warrants that he or he has not assigned any claim that he or he purports to release hereunder and that he or he has the full power and authority to enter into this Agreement and bind each of the persons and entities that the Executive purports to bind. The Executive further represents and warrants that he or he is bound by, and agrees to remain bound by, the Executive’s post-employment obligations set forth in the Employment Agreement.
Executive’s Representation. The Executive represents and warrants to the Company that: (a) he is subject to no contractual, fiduciary or other obligation which may affect the performance of his duties under this Agreement; (b) he has terminated, in accordance with their terms, any contractual obligation which may affect his performance under this Agreement; and (c) his employment with the Company will not require him to use or disclose proprietary or confidential information of any other person or entity.
Executive’s Representation. Executive represents and warrants to the Company that there is no legal impediment to him entering into, or performing his obligations under this Agreement and neither entering into this Agreement nor performing his contemplated service hereunder will violate any agreement to which he is a party or any other legal restriction. Executive further represents and warrants that in performing his duties hereunder he will not use or disclose any confidential information of any prior employer or other person or entity.
Executive’s Representation. The Executive represents and warrants to the Company that: (a) he has the knowledge and experience to perform his duties as described in Attachment I, and that his qualifications as represented to the Company are true and accurate; (b) he has not been charged with or convicted of any criminal or regulatory violation, and to the best of his knowledge is not the subject of any on-going investigation by any governmental agency; (c) he is not subject to any contractual, fiduciary or other obligation which may affect the performance of his duties under this Agreement; (d) he has terminated any and all contractual obligation which may affect his performance under this Agreement; and (e) his employment with the Company shall not require him to use or disclose proprietary or confidential information of any other person or entity.
Executive’s Representation. The Executive shall be, and he -------------------------- represents that he is, free to enter into this Agreement and not under any contractual restraint which would prohibit his satisfactorily performing his duties to the Corporation hereunder.
