Exculpated Party definition

Exculpated Party means, collectively, and in each case in its capacity as such: (a) each of the Debtors; (b) each of the Reorganized Debtors; (c) any statutory committees appointed in the Chapter 11 Cases and each of their respective members; (d) the DIP Lender; (e) the Prepetition Administrative Agent; (f) the Consenting Lender; (g) the Exit Facility Agent, if applicable; and (h) with respect to each of the foregoing in clauses (a) through (g), such Entity and its current and former Affiliates, and such Entities’ and their current and former Affiliates’ current and former subsidiaries, officers, directors, managers, principals, members, employees, agents, advisory board members, financial advisors, partners, attorneys, accountants, investment bankers, consultants, representatives, and other professionals, each in their capacity as such.
Exculpated Party means, collectively, and in each case in its capacity as such: (a) the Debtors and the Reorganized Debtors, (b) the Consenting Lenders, (c) the DIP Lenders, (d) the First Lien Agents, (e) the DIP Agents, (f) the Committee and its members, (g) with respect to each of the foregoing entities, each such Entity’s current and former predecessors, successors, Affiliates (regardless of whether such interests are held directly or indirectly), subsidiaries, direct and indirect equity holders, and (h) with respect to each of the foregoing Entities in clauses (a) through (g), each of their respective current and former directors, officers, members, employees, partners, managers, independent contractors, agents, representatives, principals, professionals, consultants, financial advisors, attorneys, accountants, investment bankers, and other professional advisors (with respect to clause (g), each solely in their capacity as such).

Examples of Exculpated Party in a sentence

Except as otherwise specifically provided in the Plan or the Plan Supplement, no Exculpated Party shall have or incur, and each Exculpated Party is hereby released and exculpated from any Claim, obligation, Cause of Action, or liability for any Exculpated Claim, except for gross negligence or willful misconduct, but in all respects such Entities shall be entitled to reasonably rely upon the advice of counsel with respect to their duties and responsibilities pursuant to the Plan.

Exculpated Party means each of the following, solely in its capacity as such: (i)(a) the Debtors, their subsidiaries, and any successors of the foregoing; (b) the Reorganized Debtors, their subsidiaries, and any successors of the foregoing; (c) with respect to each of the Entities in clauses (i)(a) and (i)(b), each of such Entity’s financial advisors, attorneys, accountants, investment bankers, consultants, and other outside professionals who served at any time between the Petition Date and the Effective Date; (d) with respect to each of the Entities in clauses (i)(a) and (i)(b), each of such Entity’s officers, agents, employees and/or representatives (if any) who served at any time between the Petition Date and the Effective Date; (e) Robert Warshauer and Don Ritter (in their capacities as directors and agents of the Debtors and/or the Reorganized Debtors); and (ii)(a) the Administrative Agent and its affiliates; (b) the Consenting Term Lenders and their affiliates; (c) any entity formed by the Administrative Agent or the Consenting Term Lenders to act as a holding company for any of the Debtors or Reorganized Debtors or otherwise to effectuate or implement the Plan; and (d) with respect to each of the Entities in clauses (ii)(a), (ii)(b) and (ii)(c), each of such Entity’s current and former agents, directors, officers, employees, managers, principals, members, equity holders (regardless of whether such interests are held directly or indirectly), predecessors, successors, assigns, subsidiaries, advisory board members, financial advisors, investment advisors, partners, attorneys, accountants, investment bankers, consultants, representatives, other professionals, and such persons’ respective heirs, executors, estates, and nominees; provided that, notwithstanding anything herein to the contrary, in no event shall the term “Exculpated Party” include (x) MeiDu Parties, (y) C. Eric Waller, or (z) any Person identified in the Schedule of Non- Released Persons.
