Excluded Transferee definition

Excluded Transferee means (i) any Persons that are specifically identified in writing by the Borrower to the Administrative Agent, on or prior to the Closing Date that are competitors of Target or its Subsidiaries or otherwise reasonably acceptable to Fortress and (ii) any Subsidiary or Affiliates of such Persons referenced in clause (i) hereof (other than their financial investors that are not operating companies and other than any Affiliate that is a Bona Fide Lending Affiliate) that are reasonably identifiable on the basis of such Subsidiary’s or Affiliate’s name; provided, that, such designations in clause (ii) hereof shall not apply retroactively to disqualify any Persons that have previously acquired an assignment or participation interest in the Loans but upon the effectiveness of any such designation, any such party may not acquire any additional Commitments, Loans or participations.

Excluded Transferee means (i) any Persons that are identified in writing by the Borrower to the Administrative Agent prior to the Closing Date that are competitors of the Borrower and its Subsidiaries and (ii) any Affiliates of such competitors, other than bona fide debt funds or fixed income investors that are engaged in making or purchasing commercial loans in the ordinary course of business, in each case, that are either (x) separately identified by the Borrower in writing to the Administrative Agent from time to time and consented to by the Required Lenders, such consent not to be unreasonably withheld or (y) clearly identifiable on the basis of such Affiliate’s name by the Administrative Agent.

Excluded Transferee means: (i) Marc Xxxxxx; (xi) Donaxx Xxxxxx; (xii) a spouse, descendant or parent of Marc Xxxxxx xx Donaxx Xxxxxx; (xv) a descendant of any Person listed in clauses (i), (ii) or (iii) above; (v) a trust for the sole benefit of any one or more of the Persons listed in clauses (i), (ii), (iii) or (iv) above; or (vi) any Affiliate of any Person listed in clauses (i), (ii), (iii), (iv) or (v) above.

Examples of Excluded Transferee in a sentence

• Without limiting the generality of the foregoing, the Administrative Agent shall not (x) be obligated to ascertain, monitor or inquire as to whether any Lender or participant or prospective Lender or participant is an Excluded Transferee or (y) have any liability with respect to or arising out of any assignment or participation of loans, or disclosure of confidential information, to, or the restrictions on any exercise of rights or remedies of, any Excluded Transferee.

• A parent part must be associated with a complete list of constituent parts Test 7 in the Test table describes the requirement regarding unique identification.

• Subject to the applicable conditions referred to in the legend endorsed hereon and the other applicable provisions of this Warrant, the Warrantholder may Transfer at any time, in whole or in part, all or any portion of this Warrant or all or a portion of its Warrant Shares without the consent of the Company; provided, that the Warrantholder shall not Transfer any portion of this Warrant to an Excluded Transferee without the prior written consent of the Company.

• For purposes of this Warrant, "Excluded Transferee" shall mean: (i) Marc Xxxxxx; (xi) Donaxx Xxxxxx; (xii) a spouse, descendant or parent of Marc Xxxxxx xx Donaxx Xxxxxx; (xv) a descendant of any Person listed in clauses (i), (ii) or (iii) above; (v) a trust for the sole benefit of any one or more of the Persons listed in clauses (i), (ii), (iii) or (iv) above; or (vi) any Affiliate of any Person listed in clauses (i), (ii), (iii), (iv) or (v) above.

Excluded Transferee means (i) any Person who is a competitor of the Company or any of its Subsidiaries with respect to the sale of cancer insurance or supplemental health care insurance, as set forth on a list provided by the Company to Japan Post prior to the date hereof, which may be periodically updated by the Company on a reasonable and good faith basis from time to time using substantially the same criteria, or any of such Person’s Affiliates or (ii) any Activist Hedge Fund.

Excluded Transferee means (i) Guarantor, (ii) any Permitted Owner, (iii) any Person whose ownership interests are publicly traded on a nationally recognized stock exchange, (iv) any Fund and (v) any Person who, at the time the applicable Excluded Pledge is made, is an Operating Company.

Excluded Transferee means any Person whose primary business is in the natural gas vehicle fueling industry or in the renewable gas industry or any Affiliate of such Person; provided that (a) any Person that is an infrastructure investment fund, pension fund or similar investment fund or similar financial or institutional investor that is not actively engaged in the day–to-day management or operation of a renewable gas business shall not be an Excluded Transferee, and (b) if the Company has consented in writing to Transfer to an Excluded Transferee under Section 8.1(i), then such entity will not be considered a Excluded Transferee for the purposes of such Transfer.
