Excluded Real Estate definition

Excluded Real Estate means the property located at 0000 xxx 0000 Xxxxxxxxxxx Xxxxxx, Xxxxxx Xxxxxx, Xxxxxxxxxx 00000.

Excluded Real Estate means (1) MGP’s “new” office building and laboratory located in Atchison, Kansas and which has been conveyed to, and leased back from, the City of Xxxxxxxx in connection with an industrial revenue bond financing transaction (including, without limitation, the Borrower’s leasehold interest in such property), and (2) MGP’s plant located in Kansas City, Kansas (i.e., the KCIT Facility), so long as such plant is encumbered by a lien which secures “Permitted Debt” under the Senior Credit Agreement.

Excluded Real Estate means (1) MGP’s “new” office building and laboratory located in Atchison, Kansas and which has been conveyed to, and leased back from, the City of Atchison in connection with an industrial revenue bond financing transaction (including, without limitation, the Borrower’s leasehold interest in such property), and (2) MGP’s plant located in Kansas City, Kansas (i.e., the KCIT Facility), so long as such plant is encumbered by a lien which secures “Permitted Debt” under the Senior Credit Agreement.

• The Company agrees that all of its Real Estate Assets and any Affiliate's Real Estate Assets, except for Excluded Real Estate Assets, shall be serviced by the Servicer under this Agreement.

Excluded Real Estate means each of the real Properties listed as “excluded real estate” on Schedule 1.1(a).

Excluded Real Estate means (1) MGP's "new" office building and laboratory located in Atchison, Kansas and which has been conveyed to, and leased back from, the City of Atchison i n connection with an industrial revenue bond financing transaction (including, without limitation, MGP's leasehold interest in such property), and (2) MGP's plant located in Kansas City, Kansas (i.e., the KCIT Facility), so long as such plant is encumbered by a Lien existing on the Closing Date and which secures Permitted Debt; provided, however, that in no event shall Excluded Real Estate include MGP's distillery plant, protein and starch plant, flour mill or "old" office building located in Atchison, Kansas.

Excluded Real Estate means (i) any Real Estate located in any jurisdiction other the United States, any state thereof or the District of Columbia with a fair market value less than $5,000,000, and (ii) that certain fee-owned Real Estate located at 00000 Xxxxxxxx Xxxxxx, Xxxxx, Xxxxxxxxxx 00000, 00000 Xxxxxxxx Xxxxxx, Xxxxx, Xxxxxxxxxx 00000 and 00000 0xx Xxxxxx, Xxxxxx Xxxxxxxxx, Xxxxxxxxxx 00000; provided that such Real Estate described in the preceding clause (ii) shall no longer constitute Excluded Real Estate, and shall be subject to the requirements set forth in Section 5.13 hereof, upon the termination of the EWB Mortgage Documents and any other mortgages, deed of trust, leasehold deed of trust, leasehold ​ ​ ​ mortgage, deed to secure debt, leasehold deed to secure debt or other document creating a Lien on such Real Estate in place with respect to such Real Estate as of the Closing Date.

Excluded Real Estate shall have the meaning given such term in Section 7.2(d) hereof.
