Excluded Project means (a) any of the Residential Properties, (b) any of the Properties owned by the Borrower on the Closing Date other than the Projects which are identified on Schedule 1A, (c) any Qualified Real Estate Interest that is acquired after the Closing Date by the Borrower or by a wholly-owned Subsidiary or Qualified Sub-Tier Entity, and (d) any Project which has been released from the Liens of the Loan Documents in accordance with Section 2.09.

Excluded Project means (a) a Project with respect to which the Eligibility Representations are not, or are determined to have not been, true and correct on the applicable Purchase Date for such Project, (b) a Deficient Project, or (c) a Cancelled Project.

Excluded Project means any Project that is: (a) (i) not owned by any Company or Company Subsidiary at Closing as a result of (x) any right held by a third party as set forth on Schedule 3.03(e), Schedule 3.04(c) or Schedule 4.02(c), or (y) any other circumstance outside of the control of either Seller; or (ii) set forth on Schedule 6.14(a) or Schedule 6.14(c) at Closing and (b) not subject to a written agreement among Buyer and the Sellers in accordance with the terms of Section 6.11(c).

Excluded Project means the High Banks Wind Project which is excluded from (i) being included as a Subsequent Phase Effect and (ii) any and all Build-Out Payments.
