Excluded Parties definition

Excluded Parties shall have the meaning assigned to such term in Section 9.16.

Excluded Parties means, collectively, (i) any director, officer, manager, or employee of the Debtors that did not serve in such capacity on or after the Restructuring Support Agreement Effective Date or (ii) any other entity named as a defendant in a pending suit by the Debtors.

Excluded Parties means the parties listed in the Plan Supplement, which list shall be in form and substance acceptable to Luxor, the Required Consenting Lenders and the Debtors, that may otherwise meet the definition of Released Parties, but shall not receive the benefit of any release, exculpation, or injunction under Section 10 of this Plan; provided, however, that Excluded Parties shall not include (a) the employees of the Debtors, the RCS Debtor Affiliates and/or Non-Debtor Affiliates (other than directors and officers) who are employed at any time following the Petition Date and do not voluntarily relinquish their positions as of a date prior to the Effective Date without the consent of the Company, (b) the officers and directors of the Debtors, the RCS Debtor Affiliates and/or Non-Debtor Affiliates who are employed or serving in such capacity as of the Effective Date, (c) officers and directors of the Debtors, the RCS Debtor Affiliates and/or Non-Debtor Affiliates who are employed or serving in such capacity at any time following the Petition Date and terminated without cause prior to the Effective Date, and (d) the Professionals of the Debtors, the RCS Debtor Affiliates and Non-Debtor Affiliates.

• Consultant/Firm, and its Principals, may not be debarred or suspended nor otherwise on the Excluded Parties List System (EPLS) in the System for Award Management (SAM).

• Entities and individuals are not eligible for a Federal grant, including a Navigator grant, if they are on the Excluded Parties List, which is a list of any entities or individuals who have been suspended or debarred by any Federal agency.

More Definitions of Excluded Parties

Excluded Parties means individuals who are engaged directly or indirectly in the sale of Concentra and its subsidiaries as representatives of Concentra and listed on Schedule 1.01-B (other than, in each case, such Persons engaged by Concentra as part in connection with the Transactions and other than a limited number of senior employees who are required, in accordance with industry regulations or the Arrangers’ internal policies and procedures to act in a supervisory capacity and the Arrangers’ internal legal, compliance, conflicts, risk management, credit or investment committee members).

Excluded Parties means each of Centerbridge Partners, L.P., Oaktree Capital Management, L.P. and each of their respective Affiliates.

Excluded Parties means: (i) Financial Technology Ventures II (Q), LP and Millennium Technology Value Partners II Holdings, L.P; and (ii) any Affiliate of the Persons referred to in clause (i) other than Seller or any of its Affiliates (other than the Persons referred to in clause (i)).
