Exchange Units definition

Exchange Units has the meaning set forth in Section 9.1(a) of this Agreement.

More Definitions of Exchange Units

Exchange Units means the ARLP Common Units held by AHGP and its Subsidiaries immediately prior to the Merger (but after giving effect to the Distributions).

Exchange Units means the 6.95% Cumulative Preferred Membership Interests, $100 Liquidation Value issued by the Company containing terms identical in all material respects to the Units (except that (i) distributions thereon shall accumulate from the last date on which distributions were paid or declared on the Units or, if no such distributions have been paid, from the date of their original issue, (ii) they will not contain terms with respect to transfer restrictions under the Securities Act, and (iii) they will not provide for any Liquidated Damages thereon).
