Examples of Exchange Guarantee in a sentence
Each Exchange Guarantee has been duly authorized by each of the Guarantors for issuance and sale and, when the Exchange Notes have been validly issued, executed and authenticated in accordance with the terms of the Indenture, such Exchange Guarantee will constitute a valid and binding obligation of such Guarantor enforceable against such Guarantor in accordance with its terms, subject to the Enforceability Exceptions, and will be entitled to the benefits of the Indenture.
The Exchange Offer shall be deemed to have been completed upon the completion of the exchange of the Exchange Guarantee for the Guarantee pursuant to the Exchange Offer.
This Guarantee is solely for the benefit of the Holders and is not separately transferable from the Capital Securities, except that it shall be exchanged, if at all, for an Exchange Guarantee in an exchange registered under the Securities Act pursuant to the provisions of the Guarantee Exchange and Registration Rights Agreement.
The Guarantor shall provide to the Guarantee Trustee such evidence of compliance with such conditions precedent, if any, provided for in this Exchange Guarantee that relate to any of the matters set forth in Section 314(c) of the Trust Indenture Act.
This Exchange Guarantee Agreement creates a guarantee of payment and not of collection.
