Evaluation Term definition

Evaluation Term means the period from the Effective Date through the date that is thirty (30) days after the Effective Date.

Evaluation Term means the term of the evaluation period approved by Densify for Customer’s evaluation of the Densify Subscription Offering. The default Evaluation Term is fourteen (14) days.

Evaluation Term means the limited period of time following Licensee’s initial download of the Software during which Licensee is permitted to use the Software without placing an Order; provided, that the Evaluation Term is subject to early termination as provided in this agreement.

Examples of Evaluation Term in a sentence

• Adimab retains title to the Adimab Materials, including all quantities of Program Antibodies that it provides under a Research Program, including during the Evaluation Term.

• Without limiting the generality of the foregoing, during the Evaluation Term and after expiration of the Options, if unexercised, Surface shall not provide Program-Benefitted Antibodies to Third Parties, except as permitted by this Agreement.

• During the Evaluation Term, such quantities of Program Antibodies are (i) for use solely in assessing whether to exercise the Commercial Option or Research Option for the applicable Target and for Permitted Comparisons, and (ii) shall not be used in humans or for any commercial purpose.

• For each Target, until the earlier of expiration of the Evaluation Term for such Target or Surface’s exercise of its Commercial Option for such Target, Adimab shall not provide any of the Program Antibodies (or any of their Binding Sequence Information) to any Third Party in connection with performing a funded or sponsored research program for such Third Party.

• Should Surface exercise neither its Research Option pursuant to Section 3.2(a) nor its Commercial Option pursuant to Section 3.3(a), Surface shall return to Adimab or destroy any Program-Benefitted Antibodies in its possession on expiration of the Evaluation Term for such Target.

More Definitions of Evaluation Term

Evaluation Term means, with respect to each Target, the time period beginning at the end of the Research Term for such Target and ending [***] thereafter, unless otherwise extended by mutual agreement of the Parties.

Evaluation Term means the time period beginning at the end of the Research Term and ending [**] months thereafter.

Evaluation Term means the limited period of time during which Customer is permitted to use the Service without placing an Order; provided, that the Evaluation Term is subject to early termination as provided in this agreement.

Evaluation Term means the duration of an Evaluation as defined in clause 3.1.

Evaluation Term means, with respect to each Research Program, the time period beginning upon the final delivery of antibody sequences for Program Antibodies for such Research Program (which delivery shall be accompanied by a notice from Adimab indicating that such delivery is “final” for purposes hereof and shall only be delivered at the end of the applicable Research Term) and ending on the earliest to occur of (a) exercise of the Option, (b) the commencement of IND-enabling toxicology studies by or on behalf of iTeos with respect to a Product containing Program-Benefited Antibodies from such Research Program, and (c) [***] thereafter; provided, however, that the Evaluation Term for the Gal3 Research Program shall end on [***].
