The Calculation Agent will also specify to the Company the quotations upon which the foregoing rates and amounts are based and, in any event, the Calculation Agent shall notify the Company before 5:00 p.m. (London time) on each EURIBOR Determination Date that either: (i) it has determined or is in the process of determining the foregoing rates and amounts or (ii) it has not determined and is not in the process of determining the foregoing rates and amounts, together with its reasons therefor.
If such rate does not appear on Telerate Page 248, the rate for that EURIBOR Determination Date shall be determined on the basis of the rates at which deposits in Euros are offered by the Euro Reference Banks at approximately 11:00 a.m., Brussels time, on that day to prime banks in the Euro-zone interbank market for a three-month period (or, following an Acceleration Event, for a one-month period).
If at least two such quotations are provided, the rate for that EURIBOR Determination Date shall be the arithmetic mean of the quotations.
If fewer than two quotations are provided as requested, the rate for that EURIBOR Determination Date will be the arithmetic mean of the rates quoted by major banks in the Euro-zone, selected by the Beneficiary, at approximately 11:00 a.m., Brussels time, on that day for loans in Euros to leading European banks for a three-month period (or, following an Acceleration Event, for a one-month period).
The Base Rate shall be determined on each EURIBOR Determination Date, provided that with respect to the first Interest Period, the Base Rate shall be determined 3 Business Days before the date in which the first Loan is paid to the Borrower under this Agreement.
