ESOP Plan Documents definition

ESOP Plan Documents means, collectively, the documents identified in Schedule 1.1.5 to this Agreement, each as may be amended, supplemented or modified as provided herein.

ESOP Plan Documents means collectively, the governing agreements and other documents and instruments of the ESOP, in each case as in effect as of the date hereof and as may be amended in a manner permitted by Section 4.10 hereof.

• The execution, delivery and performance of each of the Transaction Documents to which the ESOT is a party do not (i) conflict with the ESOP Plan Documents, (ii) conflict with any Requirement of Law, or (iii) require a registration with, consent or approval of, or notices to, or other action to, with or by any Governmental Authority, other than filings as required by section 10.2(l).
