For U.S. federal income tax purposes, Buyers and Sellers agree that the Escrow Funds shall be treated as owned by Sellers (such that any income earned on the Escrow Funds between the Closing Date and the Escrow Release Date shall be recognized by Sellers), subject to forfeiture by Sellers based upon a final determination of the Escrow Release Amount.
