Escrow Documents definition

Escrow Documents means those documents and other items referred to in paragraphs 1.1 and 1.2 of Schedule 9.2 (Identity of the Financial Model etc.);

Escrow Documents means: (i) the Escrow Shares as represented by three share certificates (each a “Share Certificate”) representing the Escrow Shares in equal amounts; (ii) the three stock transfer powers of attorney (each a “Stock Power”) (as attached hereto as Schedule 1) duly executed and endorsed in blank for transfer, to authorize the transfer of the Shares from the Director to the Company upon evidence that the Director’s Agreement has been terminated pursuant to the terms therein from the Company; and (iii) such other documents required by the transfer agent of the Company to effect the cancellation of the Shares;

  • Unless specifically provided herein, the Escrow Agent has no duty to determine or inquire into the happening or occurrence of any event or contingency or the performance or failure of performance of the other Parties with respect to arrangements or contracts with others, the Escrow Agent’s sole duty hereunder being to safeguard the Escrow Documents and to dispose of and deliver the same in accordance with this Escrow Agreement.

  • The Escrow Agent shall provide to each Party written acknowledgment of the receipt of the Escrow Documents and Source Code Escrows, and any subsequent additions or modifications to the Escrow Documents or Source Code Escrows, promptly upon receipt thereof.


More Definitions of Escrow Documents

Escrow Documents means (i) the documents, if any, specified in Schedule 3; and (ii) any other documents delivered to the Escrow Agent and identified by the Appointer delivering such documents as being Escrow Documents;
Escrow Documents means the Base Case Financial Model (including forecast revenue and expected non-financial costs of the Project and all applicable assumptions) and the Source Code Escrow.
Escrow Documents means the stock certificates listed on Exhibit 1 to the Stock Purchase Agreement, and any New Certificates (as defined in the Stock Purchase Agreement) issued in replacement of such stock certificates and delivered to Escrow Agent as required by the Stock Purchase Agreement.
Escrow Documents means the Company Documents and Subscriber Documents;
Escrow Documents has the meaning given to it in Paragraph 1.1 of Part F (Identity of the Financial Model) of Schedule 8 (Variations);
Escrow Documents means, collectively, all of the originals of each of the Stock Transfer Agreements, Loan Agreements, Guarantee Agreements, First Stock Transfer Orders, Second Stock Transfer Orders, Waldo First Stock Transfer Order, the Waldo Second Stock Transfer Order, and share register extracts and other documents deposited in Escrow by each of the parties hereto;
Escrow Documents means the Pledged Shares and the Power of Attorney executed by the Pledgor in relation to the Pledged Shares.
