Escrow Documents definition

Escrow Documents means those documents and other items referred to in paragraphs 1.1 and 1.2 of Schedule 9.2 (Identity of the Financial Model etc.);
Escrow Documents means (i) the documents, if any, specified in Schedule 3; and (ii) any other documents delivered to the Escrow Agent and identified by the Appointer delivering such documents as being Escrow Documents;
Escrow Documents means the stock certificates listed on Exhibit 1 to the Stock Purchase Agreement, and any New Certificates (as defined in the Stock Purchase Agreement) issued in replacement of such stock certificates and delivered to Escrow Agent as required by the Stock Purchase Agreement.

Examples of Escrow Documents in a sentence

  • The date the Escrow Agent releases the funds received from one or more Subscribers to the Company and releases the Escrow Documents (as defined in the Escrow Agreement) to the parties in accordance with the provisions of the Escrow Agreement shall be the Closing Date with respect to such released funds and Escrow Documents, and such release is referred to herein as the “Closing.” There shall be only one Closing.

  • This indemnity survives the release of the Escrow Documents, the resignation or termination of the Escrow Agent and the termination of this Agreement.

  • If the Dismissal Date occurs on or before December 21, 2007 (or such later date as may be agreed in writing by all Lenders prior to the expiration of such date or dates), the provisions of the Escrow Documents not already effective shall become effective upon the Dismissal Date with no further action required by any Party, and SRZ shall release the Escrow Documents to the respective Parties that are signatories to such documents.

  • SRZ does not have any interest in the Escrow Documents but is serving as escrow agent only and having only possession thereof.

  • The Escrow Agent will have no responsibility in respect of the loss of the Escrow Documents, except to exercise such care in the safekeeping thereof as it would exercise if the Escrow Documents were property of the Escrow Agent.

Escrow Documents means the Base Case Financial Model (including forecast revenue and expected non-financial costs of the Project and all applicable assumptions) and the Source Code Escrow.
