No ERISA Event has occurred with respect to any Loan Party or, except as would not reasonably be expected to have a Material Adverse Effect, with respect to any member of the Controlled Group.
An ERISA Event occurs which has resulted or would reasonably be expected to result in liability of a Loan Party or a Restricted Subsidiary which would reasonably be expected to result in a Material Adverse Effect.
