Equity Raise definition

Equity Raise means the issuance of new Shares in connection with one or more potential offerings of Shares, or any securities or financial instruments representing such Shares, on any internationally recognised stock exchange;
Equity Raise means the proceeds received by the Borrower from the SPAC Merger or other capital contributions or investments in the equity of the Borrower or a direct or indirect parent of the Borrower.
Equity Raise has the meaning set forth in Section 5.02(r).
