Equipment Note means and includes any equipment notes issued under the Indenture in the form specified in Section 2.01 thereof (as such form may be varied pursuant to the terms of the Indenture) and any Equipment Note issued in exchange therefor or replacement thereof pursuant to Section 2.07 or 2.08 of the Indenture.

Equipment Note. Means, with respect to any Trust, any one of the notes, certificates or instruments issued pursuant to any Indenture and described as “Equipment Notes” in, or on a schedule attached to, the Trust Supplement in respect of such Trust and to be held by the Trustee as part of such Trust, including any Equipment Note (as so defined) issued under the applicable Indenture in replacement thereof or substitution therefor.

Equipment Note means any one of the promissory notes (other than Subordinated Notes) executed by the Issuer and authenticated by or on behalf of the Indenture Trustee, substantially in the form attached to the related Series Supplement.

Equipment Note means, collectively, the promissory notes referred to in Section 2.4(b) hereof.

Equipment Note. With respect to the Certificates of any series, has the meaning given to "Secured Certificate" in the related Indenture.

Equipment Note issued under an Indenture means a default in the payment of principal thereof or interest thereon, other than a default in the payment of principal or interest on a "Series D Equipment Note" issued under the Indentures which has not been cured other than solely because of acceleration. For purposes of Section 3.04(b) hereof, this is the fourth paragraph of Section 2.02. The Equipment Notes shall be executed on behalf of the Owner Trustee by its President or one of its Vice Presidents, Assistant Vice Presidents or Assistant Secretaries or other authorized officer. Equipment Notes bearing the signatures of individuals who were at any time the proper officers of the Owner Trustee shall bind the Owner Trustee, notwithstanding that such individuals or any of them have ceased to hold such offices prior to the authentication and delivery of such Equipment Notes or did not hold such offices at the respective dates of such Equipment Notes. The Owner Trustee may from time to time execute and deliver Equipment Notes with respect to the Aircraft to the Indenture Trustee for authentication upon original issue and such Equipment Notes shall thereupon be authenticated and delivered by the Indenture Trustee upon the written request of the Owner Trustee signed by a Vice President or Assistant Vice President or other authorized officer of the Owner Trustee; provided, however, that each such request shall specify the aggregate Principal Amount of all Equipment Notes to be authenticated hereunder on original issue with respect to the Aircraft. No Equipment Note shall be secured by or be entitled to any benefit under this Indenture or be valid or obligatory for any purposes, unless there appears on such Equipment Note a certificate of authentication in the form provided for herein executed by the Indenture Trustee by the manual signature of one of its authorized officers and such certificate upon any Equipment Notes shall be conclusive evidence, and the only evidence, that such Equipment Note has been duly authenticated and delivered hereunder.

Equipment Note means any one of the Equipment Notes (as defined in the Indenture) described on Schedule I attached hereto, including any Equipment Note (as so defined) issued under the Indenture as a replacement or substitution therefor, held by the Pass Through Trustee.

Equipment Note has the meaning set forth in the Equipment Loan Agreement.
