• The Members present at a duly called or held meeting at which a quorum is present may continue to transact business until adjournment, notwithstanding the withdrawal of enough Members to leave less than a quorum, if any action taken (other than adjournment) is approved by the required percentage of the outstanding Shares specified in this Agreement (including Shares owned by the EQT Members).

KG., Wire MPP Verwaltungs GmbH, EQT IV Limited, EQT V Limited or any of their respective Affiliates.

EQT has the meaning set forth in the preamble to this Agreement.
