Entire Agreement; Changes. This Agreement (including Exhibits, if any, and the IPR Policy and Process Document) is the entire agreement of the parties on this subject and merges and supersedes all related prior and contemporaneous communications and agreements. This Agreement, as well as the IPR Policy and Process Document incorporated herein, may each be amended by the OIDF Board of Directors from time to time (subject to requirements for membership votes where applicable), and Contributor agrees to abide by the terms thereof as amended, provided, however, that (a) any such amendment to this Agreement, the IPR Policy, or Process Document that would materially and potentially adversely affect Contributor’s rights and obligations shall not bind Contributor until thirty (30) days’ from the date that notice of such action is given to Contributor. Amendments shall have prospective effect only. Contributor shall be bound by such a duly adopted amendment unless it elects to terminate this Agreement and its participation in all OIDF Work Groups prior to the effective date of any such amendment.
Entire Agreement; Changes. This Agreement (including all Exhibits and Appendices, if any, and the incorporated Operating Rules and OIDF IPR Policy Parts V-VII), is the entire agreement of the parties regarding participation in the GAIN POC, and merges and supersedes all related prior and contemporaneous communications and agreements relating specifically to the GAIN POC. This Agreement, as well as the Operating Rules and OIDF IPR Policy Parts V-VII incorporated herein, may each be amended from time to time by the OIDF Board of Directors, or in the case of the Operating Rules, by affirmative vote of the OIDF GAIN POC Members (as defined in the Operating Rules) and the OIDF Executive Committee, and Participant agrees to abide by the terms thereof as amended, provided, however, that any such amendment to this Agreement, the Operating Rules, or OIDF IPR Policy Parts V-VII that would materially and potentially affect Participant’s rights and obligations shall not bind Participant until thirty (30) days’ from the date that notice of such action is given to Participant. Amendments shall have prospective effect only. Participant shall be bound by such a duly adopted amendment unless it elects to terminate this Agreement and its participation in the GAIN POC prior to the effective date of any such amendment.

The entire agreement between CareFirst BlueChoice and the Subscriber includes: (a) the Individual Enrollment Agreement; (b) Benefit Determinations and Appeals; (c) the Description of Covered Services; (d) Schedule of Benefits; and (e) any additional duly authorized notices, amendments and riders. No amendment or modification of any term or provision of this Agreement shall be valid until approved by an executive officer of CareFirst BlueChoice. Any duly authorized notice, amendment or rider will be issued by CareFirst BlueChoice to be attached to the Agreement. No agent has authority to change this Agreement or to waive any of its provisions. Any waiver of an Agreement term or provision shall only be given effect for its stated purpose and shall not constitute or imply any subsequent waiver. Oral statements cannot be relied upon to modify or otherwise affect the benefits, limitations and/or exclusions of this Agreement, or increase or void any coverage or reduce any benefits. Such oral statements cannot be used in the prosecution or defense of a claim.

There are no other agreements regarding this PPA, either written or oral. Any change to this PPA must be in writing and signed by both parties. If any portion of this PPA is determined to be unenforceable, the remaining provisions shall be enforced in accordance with their terms or shall be interpreted or re-written so as to make them enforceable.
